Tonbo Imaging IPO: Dates, Offer Structure, Financials and What Investors Should Check
The Tonbo Imaging IPO, from the Bengaluru-based defence electronics maker, is set to announce its price band on Monday, October 12, 2026, Business Standard reported. The issue is reported to open on October 15 and close on October 19, with listing on the NSE and BSE targeted for October 23. It is entirely an offer for sale (OFS), so Tonbo Imaging itself won't receive any of the money raised.
Before you apply, two points deserve attention: the pure-OFS structure, and a sharp drop in revenue and profit in the latest year. Here's what's confirmed, what's reported, and what's still unknown.
Key Takeaways
- Offer type: 100% offer for sale of up to 1,80,85,246 equity shares (face value ₹2), as per the draft prospectus.

What Does Tonbo Imaging Do?
Tonbo Imaging is a defence electronics original equipment manufacturer (OEM). It designs electro-optical and infrared systems, the "eyes" of modern military equipment. Its products include thermal imaging cores, weapon sights, hand-held thermal binoculars, targeting systems, missile seekers and fire-control systems. It also develops software that combines sensor data for battlefield awareness, Inc42 reported.
The company sells to defence forces, homeland security agencies and other defence OEMs in India and abroad. In FY25, about 65% of its revenue came from overseas sales, according to Business Standard.
What Does an OFS-Only IPO Mean for Investors?
In an offer for sale, existing shareholders sell their shares to the public. The money goes to those sellers, not to the company. In a fresh issue, the company creates new shares and keeps the money for expansion, debt repayment or other uses.
So in Tonbo's case, the IPO won't add cash to the company's balance sheet. Investor selling shareholders account for the bulk of the offer. Business Standard reported that the draft offer comprised 19.6 lakh shares from promoter sellers, 3.4 lakh from a promoter group seller, and about 1.56 crore shares from investor sellers. CEAQ Technologies is among the largest sellers, Inc42 reported.
How Have Tonbo Imaging's Financials Changed?
| ₹ crore | FY25 | FY26 | Change |
|---|---|---|---|
| Revenue from operations | 469.08 | 362.65 | −22.7% |
| Profit after tax | 72.76 | 50.88 | −30.1% |
| Net margin* | 15.5% | 14.0% | −1.5 pts |

The June 2026 quarter was weaker still. Tonbo reported revenue of about ₹36 crore and a net loss of about ₹17.7 crore, according to a Moneycontrol report cited by IPO Guru. For comparison, Inc42 reported revenue of ₹68.7 crore and a profit of ₹5.4 crore in the June quarter of the previous year.
GoPocket Analysis: Questions to Answer Before Applying
- Why did revenue fall 22.7%? Defence orders are lumpy; timing of large export deliveries can swing a year. Check the RHP for order book size and expected execution.
- Is the Q1 loss seasonal or structural? A loss in a single quarter may reflect delivery timing. Look for management's explanation.
- How is the issue priced? Once the price band is out, compare the valuation with the FY26 profit of ₹50.88 crore rather than the higher FY25 number.
- Cash flow. Profit and cash are not the same thing. Check whether operating cash flow in the RHP keeps pace with reported profit, as defence suppliers often wait long for payments.
Is the Reported Timeline Consistent?
Yes. A three-day issue opening Thursday, October 15 would close Monday, October 19. Tuesday, October 20 is a market holiday for Dussehra, so allotment on Wednesday, October 21 and listing on Friday, October 23 fits the T+3 listing rule. It's the same window reported for the Zetwerk IPO, which means both issues could compete for investor money in the same week.
